The terms of using CAIT

Amp11 Inc. d/b/a CAIT · Effective date: September 25, 2026

These Terms govern your use of CAIT, operated by Amp11 Inc. (d/b/a CAIT). Please read them carefully. If you have questions, contact privacy@meetcait.com.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Amp11 Inc. (“Amp11,” “we,” “us”) governing your use of CAIT (the “Service”). By accessing or using the Service, you accept these Terms and represent that you have the right and authority to do so. If you do not agree to these Terms, do not access or use the Service.

Your CAIT account is provisioned by your employer, a restaurant operator using CAIT (the “Operator”). You may not use the Service unless you are a current employee or manager of an Operator, and you may not use the Service if you are below the minimum legal working age in the jurisdiction where your Operator operates — currently 14 in Texas (Texas Labor Code Chapter 51), consistent with our Privacy Policy.

2. Description of Service

CAIT is a workforce-retention and shift-operations tool for restaurant operators, used by the Operator’s crew and managers to log shift information, receive operational notifications, and get support during a shift — primarily by SMS, with a companion web/mobile experience.

3. Accounts and Eligibility

3.1 Employer-provisioned accounts. Accounts are created and managed by your Operator, not through self-service registration. Your Operator is responsible for provisioning, updating, and deactivating accounts as your employment status changes.

3.2 Accuracy. You are responsible for the accuracy of the information associated with your account, including your name, phone number, and role, and for promptly telling your manager or us about any changes.

3.3 Individual accounts. Your account is for your own use. You agree not to share your login credentials or one-time passcodes with anyone else. The Service does not support shared logins — each person accessing it does so from their own account and device.

4. Message Delivery, Carrier Limitations, and Number Changes

4.1 Carrier non-liability. To the extent permitted by applicable law, carriers are not liable for delayed or undelivered messages.

4.2 No guarantee of delivery. Message delivery depends on your wireless carrier’s network and on conditions outside our control, including network availability and congestion, your device and its settings, your coverage and location, and your account status with your carrier. Amp11 Inc. does not guarantee that any message will be delivered, or delivered without delay.

4.3 One-time passcodes. The Service uses one-time passcodes sent by SMS to sign in. If you do not receive a passcode, you may request another from the sign-in screen, or contact your manager or privacy@meetcait.com for assistance. Passcodes expire after 5 minutes and are single-use.

4.4 Limitation. To the fullest extent permitted by law, and subject to Section 9 (Limitation of Liability), Amp11 Inc. is not liable for any loss or damage arising from a message that is delayed, undelivered, misdirected, or received by a person other than the intended recipient, including any inability to sign in to the Service.

4.5 Changes to your mobile number. You agree to notify us, or to reply STOP, before you give up, transfer, or change the mobile number associated with your account. You are responsible for messages sent to a number you have provided until you do so.

4.6 Compatibility. The Service is not compatible with all devices, plans, or carriers. Message and data rates may apply.

4.7 Phone number ownership and authorization. By entering your phone number and continuing, you represent that you are the current, lawful owner or authorized user of that phone number, and that you are the employee or individual authorized to access this account. You agree not to use another person’s phone number to access the Service. If you enable a “remember this device” feature, you confirm that device is under your sole control and you accept responsibility for account activity from that device until you remove it as trusted. To the extent permitted by applicable law, Amp11 Inc. is not responsible for unauthorized access resulting from false or inaccurate information provided at sign-in, or from a trusted device that is shared, lost, or otherwise not under your sole control.

5. Acceptable Use

You agree not to use the Service to: (a) violate any law or the rights of any other person; (b) harass, threaten, or abuse another person; (c) upload or transmit viruses, malware, or other harmful code; (d) attempt to gain unauthorized access to the Service or to any account other than your own; or (e) interfere with or disrupt the Service or the networks used to deliver it. Consistent with our A2P 10DLC registration, the Service is not used to send marketing or promotional SMS. We may suspend or terminate access for violating this policy.

6. Intellectual Property

6.1 Ownership. Amp11 Inc. owns all right, title, and interest in the Service, including its software, design, and content, other than the operational content you or your Operator submit through it (“Operational Content”). These Terms do not grant you any rights in our intellectual property beyond the limited right to use the Service as provided here.

6.2 License to Operational Content. You and your Operator retain ownership of Operational Content. By submitting it, you grant Amp11 Inc. a license to use, host, and process it solely to provide and improve the Service for your Operator, consistent with our Privacy Policy.

6.3 Feedback. If you send us feedback or suggestions about the Service, we may use them without any obligation to you.

7. Privacy

Our Privacy Policy describes how we collect, use, and share information in connection with the Service, including SMS consent captured at hire through your Operator’s onboarding process (e.g., its applicant tracking system) or a CAIT consent form. By using the Service, you agree to the Privacy Policy.

8. Disclaimers of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THIS EXCLUSION MAY NOT APPLY TO YOU.

9. Limitation of Liability

9.1 To the fullest extent permitted by applicable law, in no event will Amp11 Inc., its officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of, or inability to use, the Service, regardless of the legal theory of liability and even if Amp11 Inc. has been advised of the possibility of such damages.

9.2 To the fullest extent permitted by applicable law, Amp11 Inc.’s total liability for any claim arising out of or relating to the Service will not exceed the amount, if any, paid by your employer or you for access to the Service in the twelve (12) months preceding the event giving rise to the claim.

9.3 Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Amp11 Inc. and its officers, employees, and agents harmless from any claim arising out of your violation of these Terms or applicable law. We will use reasonable efforts to notify you of any such claim.

11. Term and Termination

11.1 These Terms remain in effect while you use the Service. Your access ends when your Operator deactivates your account, including when your employment with the Operator ends.

11.2 We may suspend or terminate your access to the Service at any time for violating these Terms or the Acceptable Use Policy in Section 5, or as directed by your Operator.

11.3 Sections that by their nature should survive termination — including Sections 6, 8, 9, 10, and 12 — will survive.

12. Governing Law and Dispute Resolution

12.1 Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

12.2 Venue. To the extent permitted by applicable law, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction there.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting a notice on the Service or through an operational message. Continued use of the Service after changes take effect means you accept the updated Terms.

14. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions stay in full force and effect. These Terms are the entire agreement between you and Amp11 Inc. regarding the Service. You may not assign these Terms without our consent; we may assign them freely. Our failure to enforce a provision is not a waiver of it. We may give notices to you by SMS, email, or by posting on the Service.
